These events are characterized by being outside Marketeq's reasonable control. The examples provided are illustrative and not exhaustive.

3. Effect on Performance

Marketeq shall not be liable for any failure or delay in performing its obligations in connection with the Services to the extent that such failure or delay is caused by a Force Majeure event. During a Force Majeure event, the availability, performance, or functionality of the Services may be reduced, suspended, or interrupted. Marketeq's obligations are suspended for the duration of the Force Majeure event to the extent affected. We do not accept liability for consequences arising from events beyond our reasonable control. This allocation of risk reflects common practice and the reality that some events cannot be prevented.

4. Mitigation Efforts

Where a Force Majeure event affects the Services, Marketeq will make reasonable efforts to mitigate its impact and to resume normal performance as soon as reasonably practicable. We seek to maintain appropriate business continuity and disaster recovery measures to reduce the impact of disruptive events. However, we cannot guarantee that all effects of a Force Majeure event can be avoided or minimized. Our mitigation efforts are undertaken on a commercially reasonable basis. We prioritize the restoration of the Services following a disruption.

5. Notification

Where practicable, Marketeq will seek to provide notice of a Force Majeure event that materially affects the Services, along with information about the expected impact where available. However, the nature of some Force Majeure events may limit our ability to provide advance or timely notice. We will endeavor to keep affected users reasonably informed during a significant disruption. The absence of notice does not waive the application of this Disclaimer. We communicate about disruptions where it is reasonable to do so.

6. No Liability for Losses

To the maximum extent permitted by applicable law, Marketeq shall not be liable for any loss or damage arising from a Force Majeure event, including any interruption to the Services or loss of data or business. The limitations set out in our Limitation of Liability document apply to losses arising from Force Majeure events. You are encouraged to take appropriate precautions, such as maintaining backups, to protect against the effects of disruptions. Your own preparedness helps to reduce the impact of unforeseen events. This Disclaimer allocates the risk of losses arising from circumstances beyond our control.

Marketeq reserves the right to modify or update this Force Majeure Disclaimer at any time to reflect changes in our practices or legal requirements. Any changes will become effective upon posting the revised Disclaimer, and your continued use of the Services following such posting constitutes acceptance of the changes.
