Welcome to Marketeq Digital Inc. (hereinafter referred to as "Marketeq," "we," "us," or "our"). This Service Transition and Migration Limitations document (the "Disclaimer") describes the limitations that apply to service transitions and data or system migrations carried out in connection with our services (collectively, the "Services"). Transitions and migrations are inherently complex activities that carry certain risks despite careful planning. By engaging Marketeq for, or participating in, a service transition or migration, you acknowledge and agree to this Disclaimer. If you do not agree with this Disclaimer, you should discuss your concerns with Marketeq before proceeding.
The purpose of this Disclaimer is to clarify the limitations that apply to service transitions and migrations. This Disclaimer applies to activities involving the transition of services or the migration of data, systems, or applications carried out by Marketeq, subject to the terms of the applicable service agreement. It reflects the inherent complexity and risk associated with such activities. This Disclaimer should be read together with the applicable engagement terms. It is intended to set clear expectations regarding transitions and migrations.
Service transitions and migrations are complex activities that involve moving or transforming data, systems, or services, often within intricate technical environments. Despite careful planning and execution, such activities carry inherent risks, including the possibility of disruption, data loss, or unexpected issues. The complexity of a transition or migration depends on factors such as the nature of the systems involved, data quality, and dependencies. You acknowledge that transitions and migrations cannot be guaranteed to be entirely free from risk. We seek to plan and execute such activities carefully to manage these risks.
Effective transitions and migrations depend on adequate preparation, including the availability of accurate information and appropriate backups. You are responsible for maintaining backups of important data and for providing accurate information about the systems and data involved, unless otherwise agreed. Marketeq strongly recommends that appropriate backups be maintained before any migration is undertaken. Adequate preparation helps to reduce the risk of loss during a transition or migration. We seek to work with you to prepare appropriately, but preparation is a shared responsibility.
Transitions and migrations may result in temporary disruption to services, systems, or access. Despite our efforts to minimize disruption, some interruption may be unavoidable during a transition or migration. We seek to plan such activities to reduce their impact and, where appropriate, to schedule them at times that minimize disruption. You should plan for the possibility of disruption and take appropriate precautions. Some level of disruption is an inherent feature of transitions and migrations.
While Marketeq takes reasonable steps to preserve data integrity during migrations, it does not warrant that all data will be migrated without any loss, alteration, or error, except as expressly provided in an applicable agreement. Data quality issues, incompatibilities, or unforeseen technical factors may affect the outcome of a migration. We recommend that data be verified following a migration and that backups be retained until the migration is confirmed successful. You are encouraged to participate in verifying the results of a migration. Preserving data integrity is a shared objective that depends in part on the quality of the source data.
Transitions and migrations may depend on third-party systems, platforms, or services, the behavior of which is outside Marketeq's control. Changes, limitations, or issues affecting third-party dependencies may affect the outcome of a transition or migration. Marketeq is not responsible for issues arising from third-party systems or from factors outside its reasonable control. Further detail regarding third parties is set out in our Third-party Integrations Policy. Dependencies on third parties introduce factors that we cannot fully control.
The specific scope, responsibilities, and terms applicable to any transition or migration are set out in the applicable service agreement. This Disclaimer provides general context and does not alter the terms of any specific engagement. Where the applicable agreement addresses transition or migration risks, its terms govern. Responsibilities for tasks such as preparation, testing, and verification are allocated in the relevant agreement. The engagement terms take precedence over the general statements in this Disclaimer.
To the maximum extent permitted by applicable law, Marketeq shall not be liable for any loss or damage arising from a service transition or migration, including any disruption or data loss, except to the extent expressly provided in an applicable agreement. The limitations set out in our Limitation of Liability document apply to this Disclaimer. Appropriate preparation and precautions help to reduce the risk of loss. This Disclaimer allocates the risk associated with transitions and migrations. We disclaim liability in this regard to the fullest extent permitted by law.
Marketeq reserves the right to modify or update this Service Transition and Migration Limitations document at any time to reflect changes in our practices or legal requirements. Any changes will become effective upon posting the revised Disclaimer, and your continued use of the Services following such posting constitutes acceptance of the changes. It is your responsibility to review this Disclaimer periodically.
