API Usage Policy

Welcome to Marketeq Digital Inc. (hereinafter referred to as "Marketeq," "we," "us," or "our"). This API Usage Policy (the "Policy") governs your access to and use of any application programming interfaces, developer tools, documentation, and related services made available by Marketeq (collectively, the "API"). This Policy forms a binding agreement between you and Marketeq and supplements our Terms of Use and other applicable agreements. By accessing, integrating with, or using the API, you acknowledge that you have read, understood, and agreed to be bound by this Policy. If you do not agree with this Policy, you must not access or use the API.

1. Definitions

For the purposes of this Policy, "API" means the application programming interfaces and associated tools, endpoints, and documentation provided by Marketeq. "API Credentials" means the keys, tokens, or other authentication mechanisms issued to you for accessing the API. "Application" means any software, product, or service that you develop, operate, or use that interacts with the API. "Rate Limit" means the maximum number of requests permitted within a defined period. These definitions apply throughout this Policy regardless of whether they appear in the singular or the plural.

2. License and Scope of Use

Subject to your compliance with this Policy, Marketeq grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the API solely for the purpose of developing, testing, and operating an Application that interoperates with the Services. This license does not grant you any ownership interest in the API, and Marketeq reserves all rights not expressly granted. You may not use the API in any manner that exceeds the scope of access expressly authorized by Marketeq. Any use of the API for purposes not permitted under this Policy requires the prior written consent of Marketeq.

3. API Credentials and Security

You are responsible for obtaining and safeguarding the API Credentials required to access the API. You must keep your API Credentials confidential and must not share, sell, transfer, or otherwise disclose them to any unauthorized party. You are responsible for all activity that occurs under your API Credentials, whether or not authorized by you. You agree to notify Marketeq immediately at legal@marketeqdigital.com if you suspect that your API Credentials have been compromised. Marketeq reserves the right to revoke, suspend, or reissue API Credentials at any time to protect the security and integrity of the API.

4. Rate Limits and Fair Use

To ensure the stability, security, and equitable availability of the API for all users, Marketeq may impose rate limits, quotas, and other usage restrictions. You agree to comply with all such limits as communicated to you and not to circumvent, disable, or otherwise interfere with any rate-limiting or protective measures. Marketeq reserves the right to modify these limits at any time to protect the platform against abuse, excessive load, or degradation of service. If your usage exceeds the applicable limits or imposes an unreasonable burden on our infrastructure, we may throttle, suspend, or restrict your access. We encourage you to design your Application to handle rate-limit responses gracefully and to make efficient use of the API.

5. Acceptable Use of the API

You agree to use the API only for lawful purposes and in accordance with this Policy and all applicable laws and regulations. You must not use the API to develop or operate any Application that is fraudulent, misleading, harmful, or that infringes upon the rights of any third party. You may not use the API to access, store, or transmit malicious code or to compromise the security of the API or any connected system. You must not use the API to replicate, compete with, or create a substitute for the Services. Any attempt to reverse engineer the API, or to access data or functionality beyond that which is expressly authorized, is strictly prohibited.

6. Data Handling and Privacy

If your use of the API involves the collection, storage, or processing of personal data, you agree to comply with all applicable data protection laws and with the terms of our Privacy Policy and Data Protection Statement. You must implement appropriate technical and organizational measures to protect any data obtained through the API from unauthorized access, disclosure, or misuse. You must not use data obtained through the API for any purpose other than that for which it was made available, and you must delete such data when it is no longer required or upon request by Marketeq. You are responsible for obtaining any consents required from end users in connection with your use of the API. Marketeq reserves the right to audit your compliance with these data handling obligations.

7. Modifications to the API

Marketeq continuously develops and improves the API and reserves the right to modify, update, or discontinue any aspect of the API, including its features, endpoints, and documentation, at any time and without prior notice. While we will endeavor to provide reasonable notice of material changes that may affect your Application, we do not guarantee backward compatibility. You are responsible for monitoring for changes and for updating your Application accordingly. Marketeq shall not be liable for any disruption to your Application arising from changes to the API.

8. Suspension and Termination

Marketeq reserves the right to suspend or terminate your access to the API at any time and at its sole discretion, including where we believe you have violated this Policy or engaged in conduct that may harm the API, its users, or third parties. Upon termination, your license to use the API will immediately cease, and you must stop all use of the API and delete any data obtained through it, except as otherwise required by law. The provisions of this Policy that by their nature should survive termination shall continue to apply. Termination of API access does not relieve you of any obligations incurred prior to termination.

9. Disclaimer and Limitation of Liability

The API is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Marketeq does not warrant that the API will be uninterrupted, secure, or error-free. To the maximum extent permitted by applicable law, Marketeq shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the API. Marketeq's total aggregate liability arising from or relating to this Policy shall not exceed the amount, if any, paid by you to access the API during the twelve months preceding the claim.

10. Changes to This Policy

Marketeq reserves the right to modify or update this API Usage Policy at any time and at its sole discretion. Any changes will become effective upon posting the revised Policy, and your continued use of the API following such posting constitutes acceptance of the changes. It is your responsibility to review this Policy periodically to remain informed of any updates.
