Welcome to Marketeq Digital Inc. (hereinafter referred to as "Marketeq," "we," "us," or "our"). These Client Portal Terms of Use (the "Terms") govern your access to and use of the secure client portal and any associated collaboration, project, or account-management tools made available by Marketeq (collectively, the "Portal"). The Portal is provided to authorized clients and their designated users to facilitate communication, document exchange, and the management of engagements with Marketeq. By accessing or using the Portal, you acknowledge that you have read, understood, and agreed to be bound by these Terms and any applicable service agreement. If you do not agree with these Terms, you must not access or use the Portal.
For the purposes of these Terms, "Portal" means the secure client portal and associated tools provided by Marketeq. "Authorized User" means an individual whom a client has designated and Marketeq has approved to access the Portal on the client's behalf. "Client Materials" means documents, data, and other content uploaded to or exchanged through the Portal. "Engagement" means the services provided by Marketeq to a client pursuant to a service agreement. These definitions apply throughout these Terms regardless of whether they appear in the singular or the plural.
Access to the Portal is restricted to Authorized Users and is granted solely for purposes related to a client's Engagement with Marketeq. Each Authorized User must be individually credentialed, and access rights may not be shared or transferred without Marketeq's prior written consent. Clients are responsible for designating their Authorized Users, for ensuring that such users comply with these Terms, and for promptly notifying Marketeq when an individual should no longer have access. Marketeq reserves the right to approve, deny, suspend, or revoke access for any Authorized User at its sole discretion. Access to the Portal does not confer any rights beyond those necessary to participate in the applicable Engagement.
Each Authorized User is responsible for maintaining the confidentiality of their Portal credentials and for all activity conducted under their account. Authorized Users must use strong authentication measures and comply with any security requirements communicated by Marketeq. You must notify Marketeq immediately at legal@marketeqdigital.com upon becoming aware of any unauthorized access to or use of the Portal or any suspected security incident. Marketeq shall not be liable for any loss or damage arising from a failure to safeguard Portal credentials. We may require periodic re-authentication or credential updates to protect the security of the Portal.
The Portal must be used only for legitimate purposes connected to the applicable Engagement and in accordance with these Terms and our Acceptable Use Policy. You must not use the Portal to upload or transmit any content that is unlawful, harmful, or infringing, or that contains malicious code. You may not attempt to access areas of the Portal or data for which you are not authorized, nor interfere with the proper operation of the Portal. Any use of the Portal that could compromise its security, integrity, or availability is strictly prohibited. Marketeq may monitor use of the Portal to the extent permitted by applicable law to ensure compliance with these Terms.
Client Materials uploaded to or exchanged through the Portal remain the property of the client or its respective owners, and Marketeq claims no ownership of such materials beyond the rights necessary to provide the Services. Marketeq will treat Client Materials as confidential in accordance with the applicable service agreement and will implement reasonable measures to protect them from unauthorized access or disclosure. You are responsible for ensuring that you have the right to upload any Client Materials and that doing so does not violate any law or third-party right. You should retain your own copies of important Client Materials, as the Portal is a collaboration tool and not a system of record. Confidentiality obligations relating to Client Materials shall survive the termination of access to the Portal.
Marketeq endeavors to keep the Portal available and functioning but does not guarantee uninterrupted or error-free access. The Portal may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control, and we will endeavor to minimize disruption where practicable. We may modify, enhance, or discontinue features of the Portal at any time. Support for the Portal is provided in accordance with the terms of the applicable Engagement or as otherwise communicated to you. Marketeq shall not be liable for any loss arising from the temporary unavailability of the Portal.
Marketeq reserves the right to suspend or terminate access to the Portal, in whole or in part, at any time, including upon the conclusion of an Engagement, for a violation of these Terms, or to protect the security of the Portal. Upon termination of access, the affected Authorized Users must cease all use of the Portal, and Marketeq may disable their credentials. Client Materials will be handled following termination in accordance with the applicable service agreement, our Data Retention Policy, and applicable law. Certain provisions of these Terms, including those relating to confidentiality and limitation of liability, shall survive termination.
The Portal is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. Marketeq does not warrant that the Portal will be uninterrupted, secure, or error-free. To the maximum extent permitted by applicable law, Marketeq shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of or inability to use the Portal. Nothing in these Terms limits any liability that cannot be excluded under applicable law. This section applies in addition to any limitations set forth in the applicable service agreement.
Marketeq reserves the right to modify or update these Client Portal Terms of Use at any time and at its sole discretion. Any changes will become effective upon posting the revised Terms or otherwise notifying Authorized Users, and continued use of the Portal following such notice constitutes acceptance of the changes. It is your responsibility to review these Terms periodically.
